1. License Grant

Donatefy grants you a limited, non-exclusive, non-transferable, and revocable license to access and use our Platform solely for managing and collecting donations on behalf of your nonprofit, religious, or charitable organization. This license is provided solely for lawful and authorized purposes.

2. Restrictions

You may not:

• Reverse-engineer, decompile, or attempt to extract the source code of our software or systems.
• Use the Platform for commercial resale or redistribution.
• Modify, alter, or create derivative works from any part of the Platform.
• Remove any copyright or proprietary notices from our interfaces.
• Use the Platform in any way that could harm our services, networks, or reputation.

3. Ownership

All rights, title, and interest in and to the Donatefy Platform, including all content, software, designs, and intellectual property, remain the sole property of Donatefy. You receive no ownership rights under this Agreement.

4. Payment Integration

All donation transactions are processed exclusively through Stripe, Inc. Donatefy does not store or manage donor payment information. You agree to comply with Stripe’s terms and ensure your organization is authorized to collect donations.

5. Termination

We reserve the right to terminate or suspend your license at any time, with or without cause, including but not limited to violations of this Agreement or misuse of the Platform.

6. Disclaimer of Warranty

The Donatefy Platform is provided “as is” and “as available” without warranties of any kind, either express or implied. We make no guarantees regarding uptime, donation volume, or compatibility with your internal systems.

7. Limitation of Liability

To the maximum extent permitted by applicable law, Donatefy shall not be liable for any indirect, incidental, special, or consequential damages arising out of or related to your use of the Platform. Our total liability to you for any claims shall not exceed the amount paid by you for access (if any) in the preceding 12 months.

8. Indemnification

You agree to indemnify and hold harmless Donatefy, its officers, employees, and partners from any claims, damages, liabilities, and legal fees arising from your organization’s use of the Platform or violation of this Agreement.

9. Governing Law

This Agreement is governed by the laws of the United States and the State of New York, without regard to conflict-of-law principles. Any disputes will be resolved in the state or federal courts located in New York County, NY.
