## License Agreement

The software license for organizations that use the Donatefy platform, from the Admin Portal and giving pages to kiosks, handheld readers, and the Mobile App.

Effective February 23, 2026

This License Agreement ("Agreement") is a legally binding agreement between Americloud Tek Solutions LLC, doing business as Donatefy ("Donatefy," "we," "us," or "our"), and the organization that uses the Donatefy platform ("you" or "User"). It governs your use of the Platform: our fundraising websites and giving pages, including the E-Fundraiser; the Admin Portal; the kiosk software for FS-22 and WM-22 kiosks; the software on Stripe Reader S700/S710 handhelds; the Mobile App; and any associated software or services (together, the "Platform"). By accessing or using the Platform, you agree to this Agreement.

This Agreement forms part of our [Terms of Service](https://www.donatefy.org/terms), and words such as "Organization," "Donor," "Devices," and "Content" have the meanings given there. If this Agreement and the Terms of Service conflict, this Agreement controls on the scope of the software license, and the Terms of Service control on everything else.

**The short version**

- You may use Donatefy to raise and manage donations for your organization.
- You may not copy, resell, modify, or reverse engineer the software.
- Donatefy owns the software. You own your Content, the hardware you buy, and your Stripe account.

### 1. License grant

Donatefy grants you a limited, non-exclusive, non-transferable, non-sublicensable, and revocable license to access and use the Platform while your account is active, solely to manage and collect donations on behalf of your nonprofit, religious, or charitable organization. This license is provided only for lawful and authorized purposes.

### 2. Authorized users

You may let your employees, volunteers, and contractors use the Platform on your behalf, with the roles and permissions you assign in the Admin Portal. You are responsible for their use of the Platform and for their compliance with this Agreement.

### 3. Restrictions

You may not, and may not allow anyone else to:

- reverse engineer, decompile, or attempt to extract the source code of our software or systems, except where the law grants a right that cannot be waived;
- resell, rent, sublicense, or redistribute the Platform, or offer it as a white-label service, without a separate written agreement;
- modify, alter, or create derivative works from any part of the Platform;
- remove or obscure any copyright or proprietary notices in our interfaces;
- bypass or interfere with security features, access controls, or usage limits; or
- use the Platform in any way that could harm our services, networks, other customers, or reputation.

### 4. Ownership

All rights, title, and interest in and to the Platform, including its software, designs, content, and intellectual property, remain the sole property of Donatefy and its licensors. The software is licensed, not sold, and you receive no ownership rights under this Agreement. Your Content, the Devices you buy, and your Stripe account remain yours, as described in the [Terms of Service](https://www.donatefy.org/terms).

### 5. Devices and updates

Donatefy software runs on FS-22 floor-standing and WM-22 wall-mounted kiosks, on S700/S710 handheld readers, and, through the Mobile App, on compatible phones that support Tap to Pay on iPhone or Tap to Pay on Android. We may provide updates, fixes, and new versions of the software, including remotely to Devices, and some updates may be required to keep using the Platform. You must not block required updates, modify Device software, or run unauthorized software on Devices.

If you download the Mobile App from an app store, you must also follow that store's terms of use. The app store provider is not a party to this Agreement and is not responsible for the Mobile App.

### 6. Payment integration

All donation transactions are processed exclusively through Stripe, Inc. ("Stripe") and settle into your organization's own Stripe account. Donatefy does not hold donor funds and does not store full payment card numbers or security codes; how we handle donor information is described in our [Privacy Policy](https://www.donatefy.org/privacy). You agree to comply with the [Stripe terms](https://stripe.com/legal) and confirm that your organization is authorized to collect donations.

### 7. Termination

We may terminate or suspend your license at any time, with or without cause, including for violations of this Agreement or misuse of the Platform. You may stop using the Platform at any time. When the license ends, you must stop using the Platform software. Your Stripe account and the funds settled to it remain yours, and the [Terms of Service](https://www.donatefy.org/terms#termination) explain how you can export your donor and donation records.

### 8. Disclaimer of warranty

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED.

We do not guarantee that the Platform will be available without interruption, any level of donations, or compatibility with your internal systems. The hardware warranty for Devices you buy is described in the [Terms of Service](https://www.donatefy.org/terms#hardware).

### 9. Limitation of liability

To the maximum extent permitted by applicable law, Donatefy is not liable for any indirect, incidental, special, consequential, exemplary, or punitive damages arising out of or related to your use of the Platform. Donatefy's total liability to you for all claims is limited to the greater of $100 or the amount you paid to Donatefy for access to the Platform in the 12 months before the event giving rise to the claim, the same limit that applies under the [Terms of Service](https://www.donatefy.org/terms#limitation-of-liability).

### 10. Indemnification

You agree to indemnify and hold harmless Donatefy and its officers, employees, and partners from any claims, damages, liabilities, and legal fees arising from your organization's use of the Platform or your violation of this Agreement.

### 11. Governing law and venue

The laws of the State of Illinois and applicable federal law of the United States govern this Agreement, without regard to conflict of laws principles. Any dispute will be resolved exclusively in the federal or state courts located in Cook County, Illinois, and you consent to jurisdiction there.

### 12. Changes to this Agreement

We may update this Agreement from time to time. We will post updates on this page and revise the effective date, and we will notify Organizations of material changes before they take effect, such as by email or in the Admin Portal. Continued use of the Platform after a change takes effect means you accept the updated Agreement.
